These Website Terms of Use (the “Terms”) govern your access to and use of the website at nova8.co and its sub-domains and pages (together, the “Website”), which is operated by Nova8 Pte. Ltd. (registered in Singapore), Employment Agency Licence No. 17S8782, whose registered office is at 105 Cecil Street, #22-88 The Octagon, Singapore 069534 (“Nova8”, “we”, “us” or “our”).
Please read these Terms carefully. By accessing or using the Website, completing any form on it, or otherwise interacting with it, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Website.
1. Definitions and interpretation
1.1 In these Terms, unless the context requires otherwise:
(a) “Content” means all material on the Website, including text, graphics, logos, images, audio, video, data, software, page layout, design and the selection and arrangement of the foregoing;
(b) “Consultant Network” means the network of independent legal professionals and consultants who may be matched with clients through Nova8;
(c) “Portal” means the platform accessible at talent.nova8.co and any related logged-in or application environment, which is governed by separate terms (see clause 4);
(d) “Services” means the talent and skills intelligence, legal resourcing, matching, managed-service and related offerings, and the fixed-fee, technology-enabled contract review and drafting service offered at products.nova8.co, that Nova8 describes on the Website and provides under separate written agreements; and
(e) “you” or “your” means any person who accesses or uses the Website.
1.2 Headings are for convenience only and do not affect interpretation. References to a statute include any subordinate legislation and any amendment or re-enactment of it. “Including” and “in particular” are illustrative and do not limit the words that precede them.
2. About Nova8 and the nature of the Website
2.1 Nova8 operates a talent and skills intelligence platform for the legal market. We connect organisations that need legal capacity with independent legal consultants, the Consultant Network and, where relevant, specialist law firms, including through fractional counsel, contract support, permanent recruitment, managed services and access to a curated network of law firms.
2.2 Nova8 is not a law firm and does not carry on the practice of law. We do not provide legal services or legal representation to you through the Website.
2.3 Where legal or professional services are provided, they are provided by independent consultants, members of the Consultant Network or law firms (as applicable), each of whom is responsible for their own services. The terms on which any such services are provided, and on which Nova8 provides its Services, are set out in separate written agreements and are not governed by these Terms.
2.4 In carrying on certain activities, Nova8 acts as a licensed employment agency in Singapore under Employment Agency Licence No. 17S8782. Nothing on the Website is an offer of employment, engagement or placement, and no such relationship arises except under a separate signed agreement.
3. No legal advice and no retainer
3.1 The Content, including any insights, guides, frameworks, templates, articles or other resources made available on or through the Website (“Resources”), is provided for general information only. It is not legal, regulatory, tax, financial or other professional advice, and must not be relied upon as such.
3.2 No solicitor-client, lawyer-client, retainer or other professional relationship is created between you and Nova8 (or any member of the Consultant Network) by your use of the Website, your submission of any form, or your receipt of any Resource.
3.3 You should obtain advice from a suitably qualified professional that is tailored to your specific circumstances and jurisdiction before acting, or refraining from acting, on the basis of any Content. Laws and regulatory requirements differ across the jurisdictions in which Nova8 operates and change over time, and the Content may not reflect the most current position in your jurisdiction.
3.4 Communications made through the Website (including enquiry and contact forms) are not confidential or privileged and should not be treated as such. Please do not send us confidential, privileged or sensitive information through the Website.
4. The Portal and separate agreements
4.1 Access to the Portal, to the Services, and to any engagement of legal capacity through Nova8, is governed by separate terms and conditions and/or written agreements between you (or the entity you represent) and the relevant Nova8 entity. Those separate terms prevail over these Terms to the extent of any inconsistency in relation to their subject matter.
4.2 These Terms govern only your use of the Website. They do not themselves entitle you to any Service, matching outcome, engagement, placement or other commercial result.
4.3 The fixed-fee contract review and drafting service offered at products.nova8.co is provided under separate Terms of Service, which govern that service and prevail over these Terms to the extent of any inconsistency in relation to it. Nothing on the Website is an offer of that service capable of acceptance; the service is supplied only under those Terms of Service.
5. Eligibility and access
5.1 By using the Website you represent that you are at least 18 years old and have the legal capacity to agree to these Terms, and that where you act on behalf of an organisation you are authorised to bind it.
5.2 We may modify, suspend, restrict or withdraw all or any part of the Website, or your access to it, at any time and without notice or liability. We do not guarantee that the Website, or any Content, will always be available or uninterrupted.
5.3 You are responsible for making the arrangements necessary to access the Website and for ensuring that all persons who access it through your connection are aware of, and comply with, these Terms.
6. Forms, submissions and enquiries
6.1 The Website allows you to submit information, including through the consultant network registration form, resource-request forms and contact options (each, a “Submission”). You must ensure that every Submission is accurate, current, complete and not misleading, and that you are entitled to provide it.
6.2 We process personal data contained in a Submission in accordance with our Privacy Policy. By making a Submission you consent to that processing.
6.3 A Submission does not constitute, and must not be relied upon as, an offer of work, engagement, placement, retainer or contract. Membership of, or expression of interest in, the Consultant Network does not guarantee any assignment, engagement or payment, and is subject to our separate screening, onboarding and contracting processes.
6.4 To the extent any Submission contains material that is capable of protection (for example, feedback or suggestions), you grant Nova8 a non-exclusive, royalty-free, worldwide, perpetual and irrevocable licence to use it for the purpose of operating and improving the Website and the Services, without obligation or attribution to you. You must not make any Submission that is unlawful, infringing, defamatory, confidential to a third party, or that contains malicious code.
7. Intellectual property
7.1 All intellectual property rights in the Website and the Content are owned by or licensed to Nova8 and are protected by laws around the world. All such rights are reserved.
7.2 “Nova8”, “Calibr8”, “Surge”, “Signal”, “Legal Connect”, and associated logos and branding are trademarks of Nova8 or its affiliates. You may not use them without our prior written consent. Other names and marks appearing on the Website are the property of their respective owners.
7.3 We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website and Content for your own personal or internal business purposes only. Except as expressly permitted by these Terms or by applicable law, you must not copy, reproduce, republish, download, distribute, transmit, modify, adapt, create derivative works from, sell or otherwise exploit any Content without our prior written consent.
7.4 Nova8 asserts database rights and other proprietary rights in its structured lawyer profiles, matching data and other compiled data. Nothing on the Website transfers any such rights to you.
8. Acceptable use
8.1 You agree that you will not, and will not permit any other person to:
(a) use the Website in any way that breaches any applicable law or regulation, or for any unlawful, fraudulent or harmful purpose;
(b) access, scrape, crawl, harvest, index, data-mine, or extract Content or data from the Website by automated means (including bots, spiders or scrapers), or use Content to train or develop any machine-learning or artificial-intelligence model, in each case without our prior written consent;
(c) introduce any virus, trojan, worm or other material that is malicious or technologically harmful, or attempt to gain unauthorised access to the Website, the server on which it is stored, or any connected server, computer or database;
(d) interfere with, damage or disrupt the Website, or impose an unreasonable or disproportionately large load on our infrastructure;
(e) use the Website to transmit unsolicited advertising or promotional material, or to impersonate any person or misrepresent your affiliation with any person; or
(f) infringe our intellectual property rights or those of any third party in your use of the Website.
8.2 We may report any breach of this clause 8 to the relevant authorities and co-operate with them by disclosing your identity. We may suspend or terminate your access to the Website for any breach.
9. Third-party links and content
9.1 The Website may contain links to third-party websites, applications and resources (for example, LinkedIn or recruitment tools), and may display third-party content such as testimonials and quotations. Links and such content are provided for your convenience and information only.
9.2 We do not control, endorse or accept responsibility for any third-party website or content, or for any use a third party makes of your information. Testimonials reflect the individual experience of the persons quoted and are not a guarantee of any outcome. Your dealings with any third party are at your own risk and subject to that third party’s own terms.
10. Descriptions of Services and future features
10.1 Descriptions of the Services, performance figures, jurisdictional coverage, profile counts, rankings and similar information on the Website are provided for general information and may change. Features described as “coming soon” or similar may be modified or may not be released.
10.2 Statistics, rankings and quotations on the Website are accurate to the best of our knowledge as at the date of publication but are not warranted to be complete, current or error-free.
11. Disclaimers and no warranties
11.1 The Website and the Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all conditions, warranties, representations and other terms that might otherwise be implied by statute, common law or otherwise.
11.2 We make no representation or warranty that the Website or Content is accurate, complete, current, reliable, fit for any particular purpose, secure, or free from errors, viruses or other harmful components, or that defects will be corrected.
12. Limitation of liability
12.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
12.2 Subject to clause 12.1, to the fullest extent permitted by law we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:
(a) any loss of profits, sales, business, revenue, goodwill, anticipated savings, data or business opportunity; or
(b) any indirect, special or consequential loss,
arising out of or in connection with your use of, or inability to use, the Website or your reliance on any Content.
12.3 Subject to clause 12.1, our total aggregate liability arising out of or in connection with the Website and these Terms will not exceed one hundred Singapore dollars (S$100). This clause does not affect any separate agreement you may have with a Nova8 entity in relation to the Services, which contains its own liability provisions.
12.4 You assume sole responsibility for any decision you make based on Content. We will not be liable for any loss arising from your failure to obtain appropriate professional advice.
13. Indemnity
13.1 You agree to indemnify and hold harmless Nova8 and its affiliates, and their respective officers, employees and agents, against all liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your misuse of the Website.
14. Privacy and cookies
14.1 Our collection and use of personal data in connection with the Website, including our use of cookies, is described in our Privacy Policy. By using the Website you acknowledge that policy.
15. Changes to these Terms
15.1 We may revise these Terms at any time by updating this page. The version in force is the one published on the Website when you access it, and the “Last updated” date indicates when it was last changed. Your continued use of the Website after any change constitutes acceptance of the revised Terms. We recommend that you review this page periodically.
16. Governing law and jurisdiction
16.1 These Terms, their subject matter and their formation (and any non-contractual disputes or claims arising out of or in connection with them) are governed by and construed in accordance with the laws of Singapore.
16.2 You and Nova8 irrevocably submit to the exclusive jurisdiction of the courts of Singapore to settle any dispute or claim arising out of or in connection with these Terms or the Website.
17. General
17.1 Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Website.
17.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
17.3 No waiver. A failure or delay by us in exercising any right under these Terms is not a waiver of that right, and no single or partial exercise prevents any further exercise of it.
17.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours to any affiliate or successor in connection with a reorganisation, merger or sale of business.
17.5 Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of these Terms, save that Nova8’s affiliates and the persons indemnified under clause 13 may enforce the provisions expressed to benefit them.
17.6 Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control.
